Shopping Terms / Terms of Sale

1. Parties
These Terms of Sale (“Terms”) are between:
• Seller: Bing Han International Australia, ABN: 72 601 365 575 (“we”, “us”, “our”)
• Buyer / Consumer: the person purchasing goods or services from us (“you”, “your”)
These Terms apply whenever you place an order through our website (https://binghan.club/)

2. Acceptance of Order & Formation of Contract
• Your order is an offer to us to purchase the goods or services described in the order.
• A contract between you and us is formed only when we accept your order (e.g. by sending you an order confirmation).
• We reserve the right to refuse or cancel any order (for example, due to stock unavailability or pricing errors).
• These Terms cannot override or exclude any consumer rights that apply under the ACL.

3. Prices, Payment & GST
• Prices are in Australian dollars (AUD) and include GST (if applicable).
• Payment must be made by the methods we accept (i.e. bank transfer). Please use the order number as the payment reference number.
• We will only confirm your orders when payment has arrived in our bank account. (remittance screenshot does not count)
• We may cancel an order if payment fails authorization or is otherwise disputed.

4. Delivery / Shipping / Risk & Title
• We will deliver goods to the delivery address you specify.
• Delivery times are estimates only; delays may occur.
• Risk of loss or damage to goods passes to you on delivery.
• Title (ownership) of goods passes to you only once we have received full payment.

5. Consumer Guarantees & Warranty
• Under the ACL, you have statutory guarantees (consumer guarantees) that cannot be excluded (e.g. goods being of acceptable quality, fit for purpose, matching description).
• If a product has a major failure, you are entitled to a refund or replacement.
• If a failure is not major, you may choose repair or replacement; if that isn’t reasonable, a refund may apply.
• Any additional warranties we offer (e.g. manufacturer warranties) are in addition to your ACL rights, not instead of them.
• Nothing in these Terms excludes or limits rights you have under the ACL that cannot lawfully be excluded.

6. Returns, Refunds, Exchanges & Cancellations
• You may cancel your order before dispatch (if permitted by us).
• For refund due to “change of mind”, the following should be noted:
  a) Requests must be submitted within 15 business days from order placed.
  b) Product(s) must be returned (at your cost) in resaleable condition as determined by us.
  c) Shipping cost will not be refunded.
  d) The refund amount is the purchase price less any rebate and/or bonus paid.
  e) Refund payments will be issued within 21 days after the refund request is granted.
  f) In the event where a refund request is denied (eg. The returned product is not in resaleable condition), a fee to send the product back to you is required to be paid within 30 days. If this fee is not paid within 30 days, the returned product(s) will be deemed as forfeited.
• For faulty or defective goods, you are entitled to return them under your ACL rights. Please note the following conditions:
  a) We may require you to return the goods (at our cost) and may inspect them before refund or replacement. If return of goods is required, the goods must be returned to us within 30 days of issuing of the return shipping labels.
  b) Upon successful inspection, replacement of your purchase will be sent out within 5 business days. If a refund is requested, please see the refund procedure outlined above in refund due to “change of mind”.

7. 30 DAY SATISFACTION GUARANTEE
We offer a 30 day satisfaction guarantee to all VIP Customers. This 30 day satisfaction guarantee is in addition to the rights and remedies available when a product does not comply with a statutory guarantee under the Australian Consumer Law and is not intended to limit or exclude those rights and remedies. The exchange/refund procedures will be the same as per Clause 6.

8. Limitation of Liability
• Subject to your rights under the ACL, we limit our liability (to the extent permitted by law) to:
  a) in the case of goods, replacement or repair; or
  b) in the case of services, supply again or refund.
• We exclude liability for indirect, consequential, or special loss (to the extent allowed by law).
• This limitation does not apply to liability for death or personal injury caused by our negligence, or to other liability that cannot be excluded by law.

9. Unfair Contract Terms
• If any term is considered “unfair” under the ACL (for standard-form consumer contracts) it may be void and severed, without affecting the remainder of the contract.

10. Changes to Terms
• We may revise these Terms from time to time. We will publish the updated version on our website with the date of revision.
• Continued use of our service or placing new orders after the change implies acceptance of the new Terms.

11. Dispute Resolution
• If you have a complaint or dispute, contact us at admin@binghan.au.
• If unresolved, you may escalate via DSA or ACL.
• These Terms are governed by the laws of Victoria, Australia.

12. Miscellaneous
• If a clause is invalid or unenforceable, it is severed and the remainder continues.
• These Terms, together with your order, are the entire agreement between us regarding your purchase.
• You may not assign your rights under this agreement except with our consent; we may assign ours.
